Terms of service
Last updated
These terms apply to work you buy from Pipe & Signal, a trading name of Mawla Ltd, a company registered in Ireland (company number 580150), with its registered office at 29 Killeen Avenue, Malahide, K36 AE10, Dublin, Ireland. A signed quote or statement of work can add to them. If the two differ, the signed quote wins.
Quotes and scope
Prices on this site are indicative. Each build has a fixed quote with a written scope. Work outside that scope needs a new quote, which you approve before we start it.
Payment
Fixed builds: 50% when you sign, 50% at handover. Monthly plans: billed in advance each month. Invoices are due in 14 days.
Prices exclude VAT. We add VAT where the law requires it. We invoice in USD or GBP.
Diagnostic credit
We credit the full diagnostic fee against a build that starts within 60 days of the diagnostic report.
Monthly plans
Either side can end a monthly plan with 30 days written notice. Unused capacity does not roll over to the next month.
Who owns the work
On full payment, you own the code, prompts, configuration and documents we make for you. We keep our general know-how, and we can reuse general methods that contain none of your data or confidential details.
Tools, data and accounts
You hold the accounts for each tool, data vendor, domain and inbox, and you pay those vendors direct. We do not resell tools. We ask for your written approval before any run that spends data credits above the amount in the quote.
Data protection and sending
You are the controller of your prospect and customer data. We process it only to do the agreed work, under a data processing agreement.
You are the sender of record for any email or message the machine sends. You are responsible for compliance with the laws that apply to your outreach, such as GDPR, PECR and CAN-SPAM.
Confidentiality
We keep your information confidential and use it only for your work. For white-label work, we do not contact your clients unless you ask us to.
Results
We commit to the scope in the quote. We do not promise reply, meeting or deal counts, because your offer and market affect them.
Liability
Our total liability for any claim is at most the fees you paid us in the 12 months before the claim. Neither side is liable for indirect or consequential loss. Nothing here limits liability that the law does not allow us to limit.
Law
Irish law governs these terms, and the courts of Ireland have jurisdiction.
